End User License Agreement (EULA)

IMPORTANT: Read this agreement carefully before using this Software. By installing, copying, or otherwise using PocketFlow Pro ("Software"), you agree to be bound by the terms of this agreement. If you do not agree, do not install or use the Software.

1. License Grant

PocketFlow Pty Ltd ("Licensor") grants you a limited, non-exclusive, non-transferable, revocable license to use the Software subject to the terms of this agreement and your valid license key.

Trial License: Permits evaluation use for the trial period specified at activation. Trial licenses are limited to non-commercial evaluation and may restrict grid resolution or other features.
Standard License: Permits use by a single user on a single machine owned or controlled by the licensee, for commercial or non-commercial purposes.
Enterprise License: Permits use by the number of users and machines specified in a separate written enterprise agreement. In the absence of such agreement, Standard License terms apply.

2. Restrictions

You may NOT:

Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law (including EU Directive 2009/24/EC on software interoperability);
Redistribute, sublicense, rent, lease, lend, or transfer the Software or your license key to any third party;
Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the Software;
Use the Software to develop a competing product or service;
Share, publish, or disclose your license key to any third party;
Circumvent or attempt to circumvent any license validation, copy protection, or usage restriction mechanisms.

3. Intellectual Property

The Software and all copies thereof are proprietary to and the property of PocketFlow Pty Ltd. The Software is protected by copyright law and international treaty provisions. The Licensor retains all rights not expressly granted.

4. Third-Party Components

The Software includes third-party open-source components, each subject to its own license terms. A list of third-party components and their licenses is available upon request.

5. Data Collection and Privacy

The Software communicates with the Licensor's servers to validate your license key, transmitting your license key, an anonymous hardware fingerprint, and Software version information. No simulation data, project files, or personal information is collected or transmitted. See our Privacy Policy for full details.

6. Warranty Disclaimer

The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. The Licensor does not warrant that the Software will be error-free or uninterrupted.

The Software performs computational fluid dynamics simulations. Results are approximations and must not be relied upon as the sole basis for engineering decisions. The user is responsible for independently verifying all simulation results.

Nothing in this agreement excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other applicable law that cannot be excluded, restricted, or modified by agreement.

7. Limitation of Liability

To the maximum extent permitted by law, the Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities, arising out of or in connection with the use or inability to use the Software, even if the Licensor has been advised of the possibility of such damages. The Licensor's total liability shall not exceed the amount paid by you for the Software license in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless the Licensor and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of your use of the Software, your breach of any term of this agreement, or any third-party claim relating to engineering designs, environmental assessments, or other work product informed by the Software's output.

9. Termination

This license is effective until terminated. It will terminate automatically if you fail to comply with any term of this agreement. The Licensor may also terminate this license by providing thirty (30) days written notice. If the Licensor terminates without cause, you are entitled to a pro-rata refund of any prepaid license fees for the unused portion of the license term. Upon termination, you must destroy all copies of the Software in your possession.

10. Amendments

The Licensor may update the terms of this agreement from time to time. Updated terms will be included with Software updates and, where practicable, notified to you via the email address associated with your license. Continued use of the Software after notification constitutes acceptance of the updated terms.

11. Governing Law and Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of Queensland, Australia, without regard to conflict of law principles. Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.

12. Severability

If any provision of this agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
